ToolBNB Terms of Use
Effective date: October 10, 2026 · Version TOU-2026-10
These Terms of Use ("Terms") are an agreement between you and Toolbnb LLC, a Florida limited liability company ("ToolBNB," "we," "us," or "our"). They cover:
- your use of toolbnb.net and its subdomains (the "Site");
- your ToolBNB account;
- our support chat;
- the emails and other messages we send you; and
- the rentals, tool requests, and tools we provide.
Together these are the "Services."
Please read Sections 16 through 19 carefully. They limit our warranties and our liability. They also require you to cover certain claims that other people bring against us because of you, and they set out which law applies and where disputes are decided.
The short version
This summary is only a guide. If it differs from the full Terms below, the full Terms apply.
- You must be 18 or older and in the United States to use the Services.
- Every rental has its own Rental Agreement, which you accept when you order. For that rental, the Rental Agreement controls wherever it differs from these Terms.
- Before your first catalog order, you verify your identity with our provider, Stripe. Section 3 explains what that involves and how we use the results.
- Tools can cause serious injury. Follow the maker's instructions. The information on our site is general information, not professional advice.
- Our Site and its content are provided "as is," and our liability is limited (Sections 16 and 17).
- Florida law applies. Where a dispute can be brought depends on whether you rent for personal or business use; see Section 19 and your Rental Agreement. Nothing in these Terms takes away your right to dispute a charge with your card issuer.
1. What these Terms cover
These Terms apply whenever you use the Services, whether or not you create an account or rent a tool.
Each rental is also governed by a separate rental agreement that you accept when you place an order or submit a request:
- Catalog orders: the Rental Agreement — Catalog Order (toolbnb.net/terms/rental).
- Tool requests: the Rental Agreement — Tool Request (toolbnb.net/terms/tool-request).
These Terms call each of them a "Rental Agreement."
If these Terms and a Rental Agreement say different things about a rental, the Rental Agreement controls for that rental. These Terms apply to anything a Rental Agreement doesn't cover.
Our Privacy Policy (toolbnb.net/privacy) explains how we collect, use, share, and keep personal information. Please read it.
2. Accepting these Terms
You accept these Terms when you check a box or click a button saying you agree to them, such as when you create an account, at checkout, or when you submit a tool request. If you don't agree to them, please don't use the Services.
If you use the Services for a business, you confirm that you're authorized to accept these Terms for that business. In that case, "you" includes the business.
3. Who can use the Services, and identity verification
To use the Services, you must:
- be at least 18 years old (or the age of majority where you live, if that is higher) and able to enter into a binding contract;
- be located in the United States, and not be barred by law from using the Services; and
- give us true, current, and complete information, and use only payment cards you're authorized to use.
We currently ship only to addresses in the states listed on our Shipping & Returns page (toolbnb.net/policies). If an order has a shipping address anywhere else, we may cancel it and release the hold on your card.
Identity verification. Before your first catalog order, you'll verify your identity with Stripe, our ID-check provider. Here is how it works:
- Stripe takes a photo of your government-issued photo ID (a driver's license, passport, or ID card) and a live selfie, and compares them.
- Before the check starts, we ask for your consent, and Stripe asks for its own. The biometric data (measurements of your face) stays with Stripe; we don't receive it.
- Stripe stores the ID and selfie images, and we don't keep copies of them. Stripe tells us whether the check passed and shares your verified name and address with us, which we keep with your account. Our team can also view your ID and selfie images in Stripe, and does so only if an order needs a manual review, you ask us to help with your verification, or a tool isn't returned, comes back damaged or is missing from the return box, or there's a payment dispute.
- The person who completes the verification must be the person placing the order.
We use your ID check to confirm that the person ordering is you, to decide whether an order needs review before it ships, to prevent fraud and misuse of our tools (including a tool that isn't returned, is returned damaged or is missing from the return box), and, if there's a dispute, to show that you placed the order and accepted your agreement. In a payment dispute we may tell your card issuer that you passed our ID check and when. We don't use it for marketing or routine billing. We share your ID images and details only with Stripe and the companies that host our systems, or when the law requires it, for example under a subpoena or court order. We don't sell this information.
Order checks. When you place a catalog order, we compare your verified identity, your card's billing address (including your bank's address check), and your shipping address. If something doesn't match or can't be checked, we may hold your order for a manual review before it ships, or ask you for more information. We may also cancel the order and release the hold on your card. An order on hold ships only after the review is complete. Shipping to a job site or a second home, for example, may cause a hold.
Our Privacy Policy explains how long verification data is kept, and how to ask us or Stripe to delete it.
4. Your account
Our login provider, Auth0, handles sign-in, so we never see your password. Please:
- keep your login details private;
- don't share your account, and don't use anyone else's.
You're responsible for what happens under your account. If you think someone has used it without your permission, email us right away at info@toolbnb.net.
We send important notices about your rentals to the email address on your account. To change that address, email us from your current address and tell us the new one.
To close your account, email us. We'll close it once any open rentals and amounts owed are settled. We may keep some information after that, as our Privacy Policy explains.
5. Rentals, tool requests, and payments
Your Rental Agreement explains:
- what is held or charged on your card, and when;
- your return-by date;
- what happens if a tool isn't returned or comes back damaged; and
- how your saved card is used.
Nothing in these Terms changes the amounts set by your Rental Agreement.
- Prices are in U.S. dollars. We add sales tax where we're required to collect it.
- Shipping isn't free. Shipping both ways, including the prepaid return label on your order page, is part of what you pay, as your Rental Agreement explains.
- Card payments, card holds, and saved cards are processed by our payment processor, Stripe. We don't receive or store your full card number.
- Holds and charges appear on your card statement as TOOLBNB. Some charges are made after your tool comes back, weeks after you ordered.
- You can ask us to remove your saved card at any time. Removing it doesn't release an amount already held on it: we still settle your order from that hold, or charge it early, as your Rental Agreement describes. Apart from that, we make no new charges to a removed card, and you pay anything else you owe another way.
- A tool request isn't a rental until we accept it. We may accept or decline any request. Your card is charged only if we accept, as the Rental Agreement — Tool Request explains.
6. Listings, prices, and errors
We work to keep our listings accurate, but mistakes can happen.
- Descriptions, specifications, and compatibility lists often come from the tool's maker or other outside sources. They can contain errors or change over time.
- Photos are for illustration. The unit you receive may look different or come in a different case. If you're not sure what comes with a tool, ask us before you order.
- We can't guarantee that a tool will work with your engine, vehicle, boat, equipment, or project. Check the maker's information before you order.
- Daily rates don't include sales tax or shipping. Prices we mention for products sold by others, such as accessories, are approximate and may have changed.
- We may change prices and listings at any time. A change doesn't affect an order you've already placed.
If we find an error in a price, deposit, replacement price, or other listing detail, we may correct it. If an order was placed while the error was showing, we may cancel that order before it ships. If we do, we'll release any hold on your card and refund anything already charged for that order.
A correction made after you order will never raise the rates, deposit, or replacement price locked in for your catalog order. For a tool request, we won't charge more than the total shown when you submitted it without asking you first. If an error caused you to be charged too much, we'll refund the difference.
7. Availability and orders we can't fill
- A tool shown as available isn't reserved for you until your order is placed. It can become unavailable while you're browsing.
- Some tools are bought for you after you order, and the listing says so. These tools take longer to ship, and any delivery time we give for them is an estimate. They must be ordered on their own, not together with other tools.
- Tools we buy for you, including tools from a tool request, may ship straight from the store or seller, in their packaging. We give the seller your name, shipping address, and phone number for delivery.
- If we can't get a tool you ordered, we'll cancel the order, release the hold on your card, and refund anything already charged for that order.
- We may refuse or limit any order or tool request for any lawful reason, such as fraud risk, safety, shipping limits, or an unpaid balance.
- We may change, pause, or stop offering any tool or any part of the Services. This won't affect a rental that has already shipped.
8. Using tools safely; our information isn't professional advice
Power tools, fastening tools, and diagnostic equipment can cause serious injury, death, or property damage if misused. Before you use any tool:
- read and follow the maker's manual and safety warnings;
- wear the protective gear the maker calls for; and
- use the tool only for its intended purpose, and only if you know how to use it safely.
Keep tools away from children. If a tool looks damaged or isn't working right, stop using it and contact us.
Our listings, tips, and the answers we give by chat or email are general information to help you choose a tool. They aren't professional, engineering, electrical, mechanical, marine, HVAC, or safety advice. They don't replace the maker's instructions or a qualified professional.
Diagnostic tools. A diagnostic tool shows what the equipment reports. A reading isn't a diagnosis. Any repair, purchase, or safety decision you make based on it is yours. Some diagnostic tools can clear codes or change settings, and doing that can affect how your engine or equipment runs and its maker's warranty. Never use a tool to disable or alter emissions controls.
Water and boats. Tools used in or near water, or on a boat, need extra care with electricity and water safety. Some places restrict in-water hull cleaning, so check local rules first.
Batteries. Pack batteries for return the way they arrived. If a battery is damaged, swollen, or leaking, don't ship it. Stop using it, keep it away from anything that can burn, and contact us.
Licenses and permits. Some jobs require a license, permit, or certification, such as work on refrigerant or electrical systems. Some places also restrict certain work. Renting a tool doesn't give you permission to do that work, and meeting those requirements is your responsibility.
In an emergency, call 911. Our chat and email aren't monitored for emergencies.
9. Support chat
Once you're signed in and have started an order, a tool request, or an ID check, you can message our team through the chat on our site. Otherwise, email us at info@toolbnb.net.
- People on our team read and answer chat messages; it isn't an automated chatbot. We reply as soon as we can, usually on U.S. business days.
- We keep a record of chat messages with your account. If you or we are offline, a copy of the message is sent by email.
- Please don't send card numbers, ID numbers, passwords, or other sensitive information by chat.
- For cancellations, disputes about charges, and legal notices, please email info@toolbnb.net so there's a clear record.
- Please be respectful. We may close a conversation or limit chat access if chat is used abusively.
10. Rules for using the Services
You agree not to do any of the following, and not to help or allow anyone else to do them:
- break any law, or use the Services or any tool for an illegal purpose;
- give false information, pretend to be someone else, or use another person's identity, ID, account, or card;
- open a new account to get around a suspension or our identity checks;
- place an order or request you don't intend to pay for;
- use a rented tool in a way your Rental Agreement doesn't allow, such as subletting, selling, or pawning it, or taking it outside the United States;
- request or rent a tool for work you aren't legally allowed to do, or ask us to get an item that is illegal to buy, own, or ship;
- harass, threaten, or abuse our team or anyone else, or send spam, malicious code, or unlawful content;
- copy, scrape, or collect content, prices, or data from the Services using bots or other automated tools. Public search engines that index the Site for their search results are allowed. Our robots.txt file gives instructions to crawlers but doesn't give anyone permission to do anything else these Terms don't allow;
- interfere with or overload the Services, or try to get around or test any security, payment, identity-verification, or access control. If you find a security problem, please tell us at info@toolbnb.net, and don't access data that isn't yours;
- copy our listings, descriptions, or photos, or use the Services to build a competing product; or
- use the ToolBNB name or logo, or suggest that we endorse you, without our written permission.
Nothing in these Terms limits your right to post an honest review of ToolBNB or of a tool you rented.
11. What you send us
"Your content" means the chat messages, tool requests, and other information you send us. Tool requests include product links, tool names, and how you plan to use a tool. You keep whatever rights you have in your content.
You give ToolBNB a non-exclusive, royalty-free, worldwide license to use, store, copy, and display your content as needed to:
- run the Services;
- fill your orders and requests;
- provide support;
- keep records; and
- enforce our agreements.
For example, when you add a product link to a tool request, our provider ConvertAPI saves a picture of that page. If you submit the request, we keep that picture with it.
You're responsible for your content. You confirm that you have the right to send it to us and that it doesn't break the law or anyone else's rights. We may remove content that breaks these Terms.
If you send us suggestions or ideas, we may use them freely without owing you anything.
12. Our content and the ToolBNB name
The Site and its content belong to Toolbnb LLC or its licensors and are protected by intellectual-property laws. This includes the Site's design, text, graphics, and software, the photos we take, and the ToolBNB name and logo.
We give you a limited, personal, non-transferable, revocable permission to use the Site under these Terms, for your own rentals and for your personal or internal business use. You may not copy, republish, sell, or adapt our content, or use the ToolBNB name or logo, without our written permission, except where the law allows. We keep all rights we don't expressly give you.
13. Other companies' brands
The Services show the brand, product, and model names of tool makers, engine and equipment makers, and retailers, such as Milwaukee, Festool, Makita, ANCEL, Rinda, and Cavitcleaner. Their logos also appear where they're printed on the products themselves. These names and logos belong to their owners. We use them only to identify the genuine products we rent, or the products you ask us to get.
ToolBNB is an independent rental company. We aren't affiliated with, sponsored by, or endorsed by any tool maker, engine or equipment maker, or retailer.
A manufacturer's warranty belongs to the manufacturer and doesn't extend to you as a renter. Please don't register a rented tool with its maker or make a warranty claim on it. Contact us instead.

14. Other companies' services and websites
We rely on other companies for parts of the Services, including:
- Stripe: payments, card holds, saved cards, sales tax, and identity verification.
- Auth0: sign-in.
- EasyPost and shipping carriers: address checks, labels, delivery, and tracking.
- The stores and sellers we buy tools from, which may ship a tool directly to you.
- Resend: email.
- DigitalOcean: hosting, database, and file storage.
- ConvertAPI: saving a picture of a product page you send us.
These companies have their own terms and privacy policies. Our Privacy Policy explains what information each one receives.
Carrier delivery dates are estimates. Your rental starts and ends based on the carrier's tracking scans, as your Rental Agreement explains. Except where a Rental Agreement says otherwise or the law requires, we aren't responsible for delays, errors, or outages caused by these companies.
The Services may link to other websites, such as maker manuals and videos, or the retailer pages you send us with a tool request. We don't control those sites and aren't responsible for their content, products, or privacy practices. A link isn't an endorsement.
If you sign in with an account from another company, that company's terms also apply to your sign-in.
15. Copyright complaints
If you believe something on the Services infringes your copyright, email info@toolbnb.net and include:
- your physical or electronic signature;
- a description of the copyrighted work;
- a description of the material you believe infringes it, and where it appears on the Services (a link is best);
- your name, mailing address, phone number, and email address;
- a statement that you believe in good faith that the use isn't authorized by the copyright owner, its agent, or the law; and
- a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.
We'll review your notice and remove or disable material where appropriate. We may close the accounts of people who repeatedly infringe. Under federal law, knowingly making a false infringement claim can make you liable for damages.
16. NO WARRANTIES
(a) THE SERVICES, AND ALL INFORMATION, CONTENT, AND SUPPORT PROVIDED THROUGH THEM, ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT AS THESE TERMS (INCLUDING SECTION 16(b)) OR A RENTAL AGREEMENT EXPRESSLY STATE, AND TO THE FULLEST EXTENT THE LAW ALLOWS, TOOLBNB DISCLAIMS ALL WARRANTIES ABOUT THE SERVICES, EXPRESS OR IMPLIED. THIS INCLUDES ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DON'T PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION ON THEM IS COMPLETE, CURRENT, OR ACCURATE.
(b) TOOLS. EXCEPT AS A RENTAL AGREEMENT EXPRESSLY STATES, AND TO THE FULLEST EXTENT THE LAW ALLOWS, TOOLS ARE RENTED "AS IS" AND "WITH ALL FAULTS," WITHOUT ANY IMPLIED WARRANTY OF MERCHANTABILITY. THE SAME APPLIES TO ANY TOOL THAT BECOMES YOUR PROPERTY UNDER A RENTAL AGREEMENT, WHICH IS SOLD "AS IS" AND "WITH ALL FAULTS." THERE IS NO WARRANTY THAT ANY TOOL WILL BE FIT FOR A PARTICULAR PURPOSE. THIS DOESN'T CHANGE OUR PROMISE THAT THE TOOL YOU RECEIVE WILL BE THE MODEL SHOWN IN ITS LISTING AND WILL MATCH WHAT THE LISTING SAYS ABOUT ITS CONDITION AND WHAT'S INCLUDED.
(c) Some states don't allow certain warranties to be disclaimed, so parts of this Section may not apply to you.
17. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT THE LAW ALLOWS:
(a) TOOLBNB AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST WAGES, LOST DATA, OR PROJECT DELAYS, THAT ARISE OUT OF OR RELATE TO THE SERVICES (INCLUDING ANY RENTAL OR TOOL) OR THESE TERMS. THIS APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
(b) TOOLBNB'S TOTAL LIABILITY FOR ALL CLAIMS THAT ARISE OUT OF OR RELATE TO THE SERVICES (INCLUDING ANY RENTAL OR TOOL) OR THESE TERMS WILL NOT BE MORE THAN THE GREATER OF $250 OR THE AMOUNT YOU PAID TOOLBNB IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. THIS APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. IF A RENTAL AGREEMENT SETS ITS OWN LIMIT FOR CLAIMS ABOUT THAT RENTAL, THAT LIMIT APPLIES TO THOSE CLAIMS INSTEAD.
(c) THESE LIMITS DO NOT APPLY TO: CLAIMS FOR PERSONAL INJURY OR DEATH, WHICH ARE GOVERNED BY THE APPLICABLE RENTAL AGREEMENT AND THE LAW; TOOLBNB'S GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT; OR ANY LIABILITY THAT THE LAW DOES NOT ALLOW TO BE LIMITED.
(d) New Jersey residents: if you live in New Jersey and use the Services for personal, family or household purposes, Section 17(b) does not apply to you.
18. Claims by others
This Section applies if someone other than you or us makes a claim against ToolBNB, or against its members, managers, or employees, that arises from any of the following:
- (a) your misuse of the Services, or your use of a tool you rented, including use by anyone you allowed to use it;
- (b) your violation of any law or of anyone else's rights; or
- (c) content you sent us.
In that case, you'll cover the resulting losses, damages, and reasonable costs, including reasonable attorney's fees. This doesn't apply to the extent the claim was caused by ToolBNB's own negligence or misconduct. This Section covers only claims by other people. It doesn't cover amounts you owe under a Rental Agreement, and it doesn't make either of us pay the other's attorney's fees in a disagreement between you and us.
We'll tell you about the claim promptly. You may take part in the defense, at your own cost, with a lawyer you choose. You may not settle the claim without our written consent in a way that admits fault for us or that requires us to do or pay anything.
19. Disputes and governing law
(a) Talk to us first. Most problems can be solved quickly. Before either of us files a claim in court, the party with the claim must send the other a written notice describing the problem and what they want.
- Send notices to us at info@toolbnb.net or by mail to the address in Section 26.
- We'll send notices to you at the email address on your account.
We'll both try in good faith to resolve the problem within 30 days after the notice is received. If a legal deadline to file would pass during those 30 days, either of us may file to protect the claim. This step doesn't apply to a request for an urgent court order to stop misuse of property or intellectual property.
(b) Florida law. Florida law and applicable federal law govern these Terms and any dispute about the Services, without regard to conflict-of-law rules. The only exception is where the law of the state where you live gives you protections that can't be given up by agreement.
(c) Where claims are decided. Claims about a rental or tool request are decided as that Rental Agreement says. For other claims: if you use the Services for personal, family or household purposes, either of us may bring a claim in a court that has jurisdiction where you live or in Miami-Dade County, Florida, and we will sue you only in a court that has jurisdiction over you. If you use the Services for a business, claims must be brought in the state courts in Miami-Dade County, Florida, or the U.S. District Court for the Southern District of Florida, and you and we consent to those courts. Either of us may instead bring an individual claim in small claims court if it qualifies.
(d) Card disputes. Nothing in these Terms limits your right to dispute a charge with your card issuer.
20. Electronic agreements and records
You agree to do business with us electronically. When you check a box or click a button to accept these Terms, a Rental Agreement, or a card authorization, that is your electronic signature. It has the same effect as signing on paper.
This consent covers these Terms, every Rental Agreement and card authorization, receipts, and all notices about your account and orders. By checking the box at checkout or when you submit a tool request, you also confirm that you can open and save the agreement shown there, which shows you can receive our electronic records.
We may give you these Terms, Rental Agreements, receipts, notices, and other communications electronically, in any of these ways:
- emailing them to the address on your account;
- showing them on your order page; or
- posting them on the Site.
Electronic communications satisfy any requirement that they be in writing. A notice we email you counts as given when we send it to the email address on your account.
To receive and keep these records, you need a device with internet access, a current web browser, and an email account. You can save or print any page of the Site. The current versions of our agreements are always at toolbnb.net/terms, toolbnb.net/terms/rental, and toolbnb.net/terms/tool-request, and each order confirmation links to the exact version you accepted. To update the email address we use, follow the steps in Section 4.
If you need a copy of an agreement, or a paper copy of any agreement or notice, email info@toolbnb.net. We'll send you the version that applied to your order, free of charge.
You can withdraw your consent to electronic records by emailing us. Because we operate only online, we'll then close your account once any open rentals and amounts owed are settled. Until then, we may contact you about them by email, phone, or mail. Withdrawing consent doesn't affect anything we sent you electronically before you withdrew it.
21. How we contact you
- Service emails are part of the Services. These are messages about your account, orders, requests, deliveries, returns, charges, and amounts owed. You can't opt out of them while you have an account or an open rental.
- We may call or text you about your order, delivery, return, or an amount you owe, never between 9 p.m. and 8 a.m. your local time. You can ask us to stop calling or texting you at any time by replying STOP, telling us on a call, emailing us, or any other reasonable way. We'll stop within 10 business days and keep contacting you by email and mail. We won't use your number for marketing without your separate consent. Message and data rates may apply. Shipping carriers may also contact you about deliveries.
- We don't send marketing emails. If we start, each one will include our postal address and a working unsubscribe link, and we'll honor opt-outs within 10 business days.
22. Suspending or closing accounts
We may suspend or close your account, block your access to the Services, cancel orders that haven't shipped, or decline tool requests if:
- you break these Terms or a Rental Agreement;
- we reasonably suspect fraud or misuse;
- you have a past-due balance; or
- we need to for safety or legal reasons.
If we cancel an order before it ships, we'll release the hold on your card and refund anything already charged for that order.
Suspending or closing an account doesn't end open rentals or cancel amounts owed. Sections 5, 6, 8, 11 through 20, 22, 25, and 26 continue to apply after your account is closed or you stop using the Services.
23. Changes to these Terms
We may update these Terms. When we do, we'll post the new version here with a new effective date and version number.
If a change is material, we'll also tell you by email and with a notice on the Site at least 14 days before it takes effect. We may give less notice when a faster change is needed for legal, safety, or security reasons. If we change Sections 16 through 19, we'll ask you to accept the updated Terms before your next order or tool request.
Updated Terms apply to your use of the Services from their effective date. They don't apply retroactively:
- each rental stays governed by the Rental Agreement you accepted for it; and
- a change to Section 19 won't apply to a dispute that arose before the change took effect.
If you don't agree to a change, stop using the Services and ask us to close your account.
24. Accessibility
We want everyone to be able to use ToolBNB. If any part of the Site is hard to use with a screen reader or other assistive technology, email info@toolbnb.net or call (305) 239-7671. We'll help you by email or phone and work on a fix.
25. General terms
- Entire agreement. These Terms, any Rental Agreement and card authorization you accept, and any other terms we show you for a specific feature make up the entire agreement between you and us about the Services. They replace any earlier understandings on the same subject.
- If part can't be enforced. If any part of these Terms is found unenforceable, the rest stays in effect, and that part will be enforced as far as the law allows.
- No waiver. If we don't enforce part of these Terms right away, we can still enforce it later.
- Transfers. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to a business that takes over all or part of our business.
- Events beyond our control. We aren't responsible for delays or failures caused by events beyond our reasonable control, such as carrier delays, severe weather, natural disasters, power or internet outages, or government action. This doesn't excuse payment of amounts either of us owes.
- Relationship. These Terms don't create a partnership, joint venture, employment, or agency relationship.
- Who can enforce these Terms. Only you and ToolBNB can enforce these Terms, except that our members, managers, and employees may also rely on Sections 16 through 18.
- Reading these Terms. Headings are for convenience only. "Including" means "including, but not limited to."
